Terms of service

The agreement, without the fog.

These terms say what you may do with RetailFlow and EduPort, what each plan allows, how billing and the offline behaviour work, and who carries which responsibility. They are written to be read, and they follow what the software actually does.

Who this binds

You and Chikwo.

This is an agreement between Chikwo (the one-person business behind contact@chikwo.com, in Lagos, Nigeria) and the person or organisation that installs or subscribes to our software — a shop, a school, or a professional. By installing an app, registering a school on the hosted portal, or paying for a plan, you accept these terms. Where your own contract with a customer or a school board says something different about the data you hold, your records are still yours to manage under those rules.

What a licence grants

Use it, keep it working, don’t resell it.

We give you a personal, non-exclusive right to run the software. It is not a sale of the program, and it does not transfer ownership of our code to you.

EduPort: one school per install

Each EduPort installation holds exactly one school. The app refuses to add a second school to the same device, which keeps a school’s records on one authoritative copy rather than scattered across machines. A second school or campus gets its own install. There is no group or multi-campus oversight from a single install.

RetailFlow: devices and branches per plan

What you may run is decided by your plan and enforced by the app itself, not by a promise in this text. The Free plan is a single device, single store. Higher plans raise the number of devices, branches and stores — and the enforced limit is the number the software applies today.

In both products you may make copies for backup and run the software on equipment you control. You may not sell, redistribute, rent or lend the software itself, remove our notices, or try to defeat the licence checks. See the install guide for where each product stores its files.

Acceptable use

Use it for your business, lawfully.

Obey the law

Use the software to run your shop or school within Nigerian law, including the rules on the personal data you record about students, customers and staff.

No abuse

Do not use it to store or transmit unlawful content, to attack our hosted services, or to probe or disrupt them beyond normal use.

Stay inside the plan

Do not tamper with entitlement tokens, the billing state, or the student and device limits the app enforces.

Offline behaviour

Both apps are built to keep working with no network.

These are how the products behave, stated as a characteristic of the service rather than a guarantee. They can change with a release.

RetailFlow keeps trading offline. A till may rely on its last verified plan for a grace window and must reach our service again within a bounded period to renew it. In the current build that grace is 7 days and the hard ceiling on a cached entitlement is 30 days from issue. When it lapses, premium features pause — sales do not stop.

A declined renewal is treated as a billing problem, not a cancellation: the store holds its plan through a short grace rather than dropping back to Free the moment a charge fails.

EduPort records and results are never blocked for being offline during ordinary school work; the 45-day figure only concerns a lapsed paid plan being frozen after we could not confirm its billing.

The free plans, for real

What Free actually includes.

EduPort Free

Core school management on one machine — staff, classes, timetable, attendance and fees — for up to 100 active students. Cloud sync, the reports portal, bulk reports, computer-based tests, e-learning and the audit log are not part of Free. Free never expires on a date; it is capped by the student count, not frozen by time.

RetailFlow Free

A single device and a single store, with the point of sale and stock work. Multi-device, multi-branch and premium features sit on the paid plans. Free is not cut off by a lapsed date.

A new store that exceeds your plan’s device count is refused by the app until you upgrade.

Subscription and billing

Paystack bills the business, in naira.

Subscriptions are taken by Paystack. The charge goes to your business or school — not to a parent, and not to a customer of yours through our portal. Card and bank details are entered on Paystack’s own page and never reach Chikwo.

Prices are in naira (₦) and the figure you see on a product page is read live from Paystack, so it matches what you will be charged. We do not print our own prices here on purpose: if it is not coming from Paystack, it does not appear on this site. See RetailFlow or EduPort for the current price.

Renewal is automatic until you cancel. When a renewal charge fails, you enter a short grace rather than losing access instantly.

The 14-day trial

A new school can start on a 14-day Professional trial. When the trial ends it is demoted to the Free plan — capped by the 100-student limit, and not frozen by an expired date. If your school has more than 100 active students by the end of the trial, the app will ask you to subscribe or reduce the count rather than locking you out.

Refunds and cancelling

We do not run an automatic refund process. To stop being charged, cancel before your renewal date; your access then runs to the end of the period you already paid for. For anything else, write to us before you renew and we will sort it out.

Your side of it

Three things only you can do.

  1. Back up on a second drive

    A backup that lives on the same computer as the data is not a backup. Copy your backups to another drive, a USB stick, or the cloud backup on your plan. Both apps keep the database outside the program folder, so a reinstall or an uninstall does not wipe your records — but only you can move copies off that machine.

  2. Guard your credentials

    Your admin and staff sign-ins open the whole record room. Keep passwords private, use strong ones, and do not share an account. We cannot recover a school for you if your own credentials were mishandled.

  3. Do not run the LAN service on public Wi-Fi

    Both apps let other devices on the same local network open them — that is how a shop floor or a staff room works, and it happens over plain HTTP. Run them on a private network you control, never on open or shared Wi-Fi where traffic could be seen.

Support and availability

What to expect, and what can go down.

Support

We answer within 24 business hours by WhatsApp or email, and the person answering is the one who builds the software. We are in Lagos, WAT.

Availability, honestly

The hosted portal and the owner dashboard run on free-tier infrastructure that can fall asleep between requests, so the first load after a quiet spell can be slow or briefly unavailable. The installer downloads depend on GitHub Releases; if GitHub is unreachable, a download may return a temporary error rather than the file. Your own desktop app does not depend on either — it keeps working offline.

Warranties and liability

Plain-language limits.

No warranty, as far as the law allows. The software is provided “as it is”. We build it carefully and we fix what breaks, but we do not promise that it will be error-free, uninterrupted, or fit for every purpose. It is not a substitute for professional accounting or legal advice.

Our liability is capped. If a claim against us ever succeeds, the most we are liable for is the amount you paid Chikwo in the period the claim relates to. We are not liable for lost profit, lost data you did not back up, or business interruption. Please keep backups on a second drive — that is not a throwaway line, it is the real safety net.

Neither installer is code-signed yet. Windows will warn when you run it, and a managed machine may block it. That is expected, not a defect in your download. Verify the file as described in the install guide.

Ownership

Our code is ours; your data is yours.

Chikwo’s intellectual property

The software, its design, our name and marks stay ours. Nothing in these terms gives you rights to them beyond running the products.

Your data is yours

The records you enter — your sales, your students, your invoices — belong to you. You can export them as an encrypted backup and take them with you. We do not claim them and we do not sell them.

Ending it

Termination.

You can stop at any time — unsubscribe, and your access runs to the end of the paid period. We may suspend access where a plan lapses under the terms above, or where continued use would breach these terms or the law. Either way, your data remains yours: take your backup first. Provisions that by their nature survive — ownership, the liability limits, and the treatment of data already handed to a payment processor — continue after the agreement ends.

Governing law

Nigeria, and let’s talk first.

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have venue.

Before either side goes further with a dispute, write to us at contact@chikwo.com and describe the problem. Because this is a one-person operation, almost everything is settled with a clear message and a fix — starting there is both the sensible thing and the first step these terms ask for.
